Terms and conditions
The rules I work by, the same for every client. Each proposal points to them and adds what's specific to your project: what's included, what it costs, and when it's due. They're written to leave no room for doubt; if something isn't clear, ask me before you sign.
Current version as of October 15, 2026.
1Definitions
- Client
- the person or company that hires the work.
- Proposal
- the document for each project with the scope, price, dates, and payment method.
- Delivery
- the day the work goes live or, if it isn't published, the day I hand it to you ready to use.
- Approval
- your written sign-off, through the agreed channel. A message that says “approved” is enough.
- Bug
- something that doesn't work the way it was approved.
- Minor tweak
- a small change to what was delivered that doesn't change the design or add features, like swapping a text, a photo, or a detail.
- Scope change
- anything not in the proposal: new pages, sections, features, integrations, or languages, or a redesign.
- Business days
- Monday through Friday, excluding Panama's national holidays.
2Proposal and acceptance
- Every project starts with a written proposal. It's valid for 15 days; after that, the price and dates may change.
- You accept the proposal, and these terms with it, by signing it or paying the deposit.
- If the proposal says something different from these terms, the proposal wins.
3How I work
- Every project goes through four stages: understand, decide, build and test, and deliver.
- Each stage ends with something you approve: the proposal, the brief, the mockup or plan, and the final version.
- If something sent for approval goes 5 business days without a reply, I'll send a reminder. After 5 more business days, I'll consider it approved so the project doesn't stall.
- Once something is approved, reopening it isn't free. If you want to change it later, I'll quote it separately.
4Scope and changes
- The proposal says what the work includes and what it doesn't. Anything not written there isn't included.
- Each stage includes two rounds of revisions. A round is a single list of changes, sent all at once by the person who approves. Scattered comments are rolled into the next round.
- Extra rounds and scope changes are quoted in writing before I do them. I start once you approve the quote.
- A scope change can move the delivery date. The quote says by how many days.
- If several people on your side have opinions, you choose one person to approve. I only act on what comes from them.
5Your materials and responsibilities
- You send me the texts, photos, logos, logins, and details listed in the proposal, by the agreed dates.
- You confirm you have the right to use everything you send me. If a photo, text, or logo infringes someone else's rights, that's your responsibility.
- You review the content before approving it: the spelling of your texts, your prices, your hours, and your contact details.
- If you're missing something, I can use a placeholder or quote creating it. Placeholders are replaced before launch.
6Payments
- Prices are in US dollars. If any tax applies, the proposal says so.
- I ask for a 50% deposit to start, and the other 50% is due on delivery day. Longer projects can be split 40%, 30%, and 30%, as the proposal states.
- The proposal states the payment method. Every payment gets a receipt.
- If a payment is more than 7 days late, work pauses until it arrives, and delivery moves by the same number of days. If it's more than 30 days late, the cancellation section applies.
- The warranty and follow-up sessions apply once the final payment is made.
- Third-party services aren't included in my price (see “Third-party services”).
7Timelines
- The dates in the proposal depend on getting your part on time: materials, logins, and approvals.
- If something from you arrives late, delivery moves by the same number of days. If that pushes it into another project already scheduled, it moves to my next open slot, and I'll tell you the new date.
- If I fall behind for reasons on my end, I'll let you know as soon as I know, with the new date and the reason.
- If the project goes more than 30 days without a reply from you, it's considered paused and the cancellation section applies.
8Third-party services
- The domain, hosting, email, database, and other services, like online payments, maps, or AI, belong to other companies. You pay their costs directly to them, and the proposal says how much they cost.
- I use free plans when they're enough. If your project grows and needs a paid plan, I'll tell you before it's needed.
- I'm not responsible for outages, price changes, or policy changes from those services. If one changes and affects your project, I'll help you adapt; if the fix isn't due to a bug of mine, it's quoted.
9Ownership
- The domain, hosting, and accounts are set up in your name from the start. I join as a guest.
- Once you pay in full, the code, designs, and texts made for your project are yours. Until then, they remain mine.
- The generic tools and pieces I reuse across projects remain mine, and you can use them without limits within your project.
- Third-party fonts, libraries, and images are used under their licenses. I use free or open licenses unless the proposal says otherwise.
1030-day warranty
- For 30 days after delivery, I fix any bug at no cost.
- It covers current versions of Chrome, Safari, Edge, and Firefox, on phones and computers.
- Report the bug through the agreed channel: what happened, where, and a screenshot if you can. I'll reply within 2 business days and tell you when it will be fixed.
- Bugs don't use up follow-up sessions.
- It doesn't cover changes made by you or anyone else to the code or settings, failures of third-party services, outdated browsers, or things that work as approved but that you now want done differently.
11Follow-up sessions
- For the four weeks after delivery, you get four sessions, one per week, 45 minutes each, by video call.
- They're for minor tweaks and questions about using what I built. They don't cover new design, new pages or features, or scope changes; those are quoted separately.
- We schedule them at least 2 business days ahead, and you send me your list of tweaks the day before.
- Anything that doesn't fit in 45 minutes moves to the next session or gets quoted.
- Sessions don't roll over or extend past week four: if you skip one week's session, it doesn't carry over to the next.
- If you cancel with less than 24 hours' notice, or don't show up, the session counts as used. If I cancel, we reschedule it.
After week four, you can hire a monthly maintenance plan, quoted separately.
12Communication
- We use one channel, agreed on at the start. Anything that comes in another way gets moved to that channel before I act on it.
- I reply on business days, within 2 business days at most.
- If something urgent breaks, like the site not loading, say so at the start of your message and I'll look at it first.
- The proposal says how many meetings the project includes. Meetings are scheduled ahead of time.
- While I build, I send you a short update every week: what I did, what's next, and what I need from you.
13Access and security
- You give me access by inviting me to each account or through a password manager. Never send me a main password in a message.
- When we finish, I hand you the full code in a repository in your name and remove my access, unless you hire maintenance. I recommend changing any password you shared with me.
- After delivery, backups of your content are your responsibility, unless you hire maintenance.
14Personal data
- I handle the data you share with me, yours and your customers', under Panama's Law 81 of 2019, and only to do the work.
- If your project stores people's data, you're the one responsible under the law, and I help you comply: a privacy notice, consent, and keeping only what's needed.
- When the project ends, I delete the personal data you shared with me.
15Confidentiality
- I don't share with anyone the information about your business I learn through the project.
- This commitment continues after the project ends.
- If you need a signed confidentiality agreement, I'll sign it.
16Portfolio
- I can show the finished work in my portfolio, with a description and screenshots, once your project is live.
- If you'd rather it not appear, or want part of it hidden, tell me before signing and it goes in the proposal.
- I never publish private data, information about your customers, or testimonials without written permission.
17Liability
- I do the work with professional care and test it before delivery, but I don't guarantee business results, like sales, customers, or search rankings.
- My total liability for a project never exceeds what you paid me for it.
- I'm not responsible for losses caused by third-party services, by changes you make, or by using the work for something other than what we agreed on.
18Cancellation
- Either of us can stop the project by giving written notice.
- If you stop it, the deposit isn't refunded, since it covers the early stages. If stages worth more than the deposit were already approved, they're paid in proportion. I hand over everything done up to that day.
- If the project stops because of missing payments or replies, the same applies as if you had stopped it.
- If I stop it and you haven't broken any of these terms, I refund the part of your payments that covers work not done and hand over what's finished.
19Force majeure
- If something outside both our control, like a serious illness, a disaster, or a long service outage, makes it impossible to deliver, we let each other know as soon as possible and the dates move by however long it lasts.
- If it lasts more than 30 days, either of us can cancel under the previous section, with no extra penalty.
20Governing law and disputes
- These terms are governed by the laws of the Republic of Panama.
- If a disagreement comes up, we first talk it through in good faith. If there's no solution within 30 days, it's settled in the courts of Panama City.
21Changes to these terms
- I may update these terms. The date at the top shows the current version.
- Each project is governed by the version in effect on the day you accepted the proposal.
